DESKTOP FONTS End User License Agreement (EULA)

RECOMMENDATION: It is advisable to print this Desktop Font Software End User License Agreement (the “Agreement”) for your records.

This Agreement establishes a legal contract between you and FAC3Type concerning your use of the Web Font Software licensed from a FAC3Type-affiliated website. By clicking “ACCEPT LICENSE AGREEMENT” or similar language, or by accepting the Agreement in any other manner (including via a purchase order or confirmation email), you are entering into a binding agreement with FAC3Type. If you do not wish to be bound by this Agreement, do not access, use, or download the Web Font Software. Please read this entire Agreement carefully before proceeding. Defined terms can be found in Section 11.

(01) BINDING AGREEMENT You acknowledge that by agreeing to this Agreement, you are bound to its terms for all use of the Font Software supplied to you by FAC3Type.

(02) LICENSE GRANTS Subject to the terms and conditions of this Agreement, you are granted a worldwide, non-exclusive, non-transferable license for your Licensed Desktop Users to:

Install the Font Software on their Workstations.
Install the Font Software on a Server that may only be accessed by your Licensed Desktop Users.
Use the Font Software on Workstations or via the Server to:
1. Create, edit, view, print, and distribute materials, provided that if you distribute such materials, the Font Software itself is not included.
2. Embed the Font Software into Electronic Documents, which may only be distributed if they are not commercial documents and the Font Software cannot be extracted.
Make backup copies for internal use, ensuring all copies contain the same proprietary notices as the original.

(03) USE BY COMMERCIAL PRINTERS You may provide the Font Software embedded in an Electronic Document to a commercial printer for printing. You must ensure the printer has its own license for the Font Software.

(04) TRADEMARKS If you choose to use FAC3Type’s trademarks, you may do so in connection with advertising and promotional materials related to the Font Software, adhering to FAC3Type’s trademark guidelines. All rights in the trademarks are owned by FAC3Type.

(05) LICENSE LIMITATIONS & REPORTING

The number of Licensed Desktop Users must not exceed what is indicated in your account or transaction documentation.
You must maintain records of your use and provide documentation to FAC3Type upon request. Exceeding licensed amounts will require purchasing additional licenses.

(06) RESTRICTIONS ON USE You may not:

Transfer your license rights, except as explicitly stated.
Rent, lease, or sublicense the Font Software.
Modify the Font Software or create Derivative Works, except as permitted by this Agreement.
Embed the Font Software in open-source software that may render it publicly available.
Use the Font Software for any racist, homophobic, transphobic, sexist, or misogynistic rhetoric. Any violation of this provision will result in immediate revocation of your license, with no refund.

(07) INTELLECTUAL PROPERTY RIGHTS The Font Software is protected under Australian and international intellectual property laws. You agree that FAC3Type owns all rights to the Font Software, and any unauthorized use constitutes infringement.

(08) LIMITED WARRANTY & LIABILITY FAC3Type warrants that the Font Software will reproduce the typeface design in accordance with industry standards. To make a warranty claim, you must notify FAC3Type in writing within the Warranty Period. FAC3Type’s liability is limited to re-delivering the Font Software. There are no other warranties regarding performance or results, and FAC3Type will not be liable for any indirect or consequential damages.

(09) TERMINATION Failure to comply with this Agreement allows FAC3Type to terminate it. Upon termination, you must destroy all copies of the Font Software. The Agreement can only be modified in writing signed by an authorized FAC3Type representative.

(10) ADDITIONAL TERMS You agree to FAC3Type’s standard Terms and Conditions, which include provisions regarding governing law, jurisdiction, and export restrictions. In case of conflict between these Terms and the Agreement, the Agreement will prevail.

(11) DEFINITIONS

Account: Your account at a FAC3Type-affiliated website through which you purchased the Font Software.

Commercial Electronic Document: An electronic document distributed as a commercial product.

Derivative Work: Any work based on or derived from the Font Software.

Electronic Document: A digital file created using the Font Software.

Font Software: Software that generates typeface designs and related files.

Licensed Desktop User: Individuals authorized to use the Font Software as indicated in your Account.

Server: Any server under your control or operated by a third party on your behalf.

Trademarks: All trademarks associated with the Font Software as listed on FAC3Type’s website.

By accepting this Agreement, you agree to comply with all terms and conditions herein.

WEB FONTS End User License Agreement for Web Fonts (EULA)

RECOMMENDATION: It is advisable to print this Web Font Software End User License Agreement (the “Agreement”) for your records.

(01) BINDING AGREEMENT You agree that by accepting this Agreement, you are bound by its terms for all uses of the Web Font Software provided by FAC3Type.

(02) LICENSE GRANTS Subject to the terms and conditions outlined herein, you are granted a worldwide, non-exclusive, non-transferable license to:

Install the Web Font Software on a Server for generating content on your Website, up to the maximum number of Page Views specified in your Account or transaction documentation.
Enable users of your Website to input text using the Font Software in transactional or marketing contexts (e.g., form fields, customer feedback).
Create and maintain backup copies of the Web Font Software for internal use, ensuring that such copies retain all proprietary notices from the original.

(03) USE BY THIRD PARTIESYou may provide the Web Font Software embedded in your Website to third parties for web-based services; however, these third parties must have their own licenses for the Font Software.

(04) TRADEMARKS While the use of FAC3Type’s trademarks is not mandatory, if you choose to utilize them, you may do so in promotional materials related to the Web Font Software, provided you comply with FAC3Type’s trademark guidelines. All rights in these trademarks are owned by FAC3Type.

(05) LICENSE LIMITATIONS & REPORTING

If your Website exceeds the number of Page Views licensed, you must either cease using the Font Software or acquire an extended license from FAC3Type.
This license does not permit embedding the Font Software in a Web-Based Customer Product or using it for authoring purposes.
Agencies or organizations responsible for multiple Websites must secure separate licenses for each.

(06) RESTRICTIONS ON USE You may not:

Transfer your license rights to another party unless explicitly allowed, which requires that the transferee accepts all terms of this Agreement and that you destroy all copies of the Font Software.
Rent, lease, sublicense, or distribute the Font Software without explicit permission.
Modify the Font Software or create Derivative Works from it.
Embed the Font Software in open-source software that may lead to public availability.
Utilize the Font Software for any racist, homophobic, transphobic, sexist, or misogynistic rhetoric. Any violation of this clause will result in immediate license revocation without refund.

(07) INTELLECTUAL PROPERTY RIGHTS You acknowledge that the Web Font Software is protected by Australian and international intellectual property laws. FAC3Type retains all rights to the Font Software and any unauthorized use is considered an infringement.

(08) LIMITED WARRANTY & LIABILITY FAC3Type warrants that the Web Font Software will reproduce the typeface design to industry standards. To make a warranty claim, you must notify FAC3Type in writing within the Warranty Period. The liability of FAC3Type is limited to re-delivering the Web Font Software. There are no additional warranties regarding performance or outcomes, and FAC3Type is not liable for indirect or consequential damages.

(09) TERMINATIONS Failure to comply with this Agreement may result in termination by FAC3Type. Upon termination, you must destroy all copies of the Web Font Software. This Agreement can only be modified in writing, signed by an authorized representative of FAC3Type.

(10) ADDITIONAL TERMS You also agree to FAC3Type’s standard Terms and Conditions, which address governing law, jurisdiction, and export restrictions. In the event of a conflict between these Terms and the Agreement, the Agreement shall prevail.

(11) DEFINITIONS

Account: Your account at a FAC3Type-affiliated website through which you purchased the Web Font Software.

Page View: A single request to load a webpage of your Website.

Server: Any server under your control or operated by a third party on your behalf, for which you have a written agreement regarding the use and protection of the Font Software.

Web-Based Customer Product: Any product offered to the public in exchange for compensation, which is created using the Font Software, excluding web pages of your Website.

Web Font Software: The software that generates typeface designs and is used on your Website, including all related files and updates.

By accepting this Agreement, you confirm your compliance with all terms and conditions outlined herein.

APP FONTS End User License Agreement for App Fonts (EULA)

RECOMMENDATION: It is advisable to print this App Font Software End User License Agreement (the “Agreement”) for your records.

(01) BINDING AGREEMENT You acknowledge that by agreeing to this Agreement, you are bound to its terms for all use of the Font Software supplied to you by FACE3type Foundry.

(02) LICENSE GRANTS Subject to the terms and conditions of this Agreement, you are granted a worldwide, non-exclusive, non-transferable license to:

Incorporate the Font Software into an iOS, Android, or Windows Phone application in a manner that prevents extraction of the Font Software.
Duplicate the Font Software as an integral part of any such application.
Distribute the Font Software as part of the application, provided the primary purpose is not to replace the Font Software.
Make backup copies for internal use, ensuring all copies contain the same proprietary notices as the original.

(03) USE BY COMMERCIAL PRINTERS You may provide the Font Software embedded in an application to a commercial printer for printing, ensuring the printer has its own license for the Font Software.

(04) TRADEMARKS If you choose to use FACE3type’s trademarks, you may do so in connection with advertising and promotional materials related to the Font Software, adhering to FACE3type’s trademark guidelines. All rights in the trademarks are owned by FACE3type Foundry.

(05) LICENSE LIMITATIONS & REPORTING

The number of distinct applications incorporating the Font Software must not exceed what is indicated in your account or transaction documentation.
You must maintain records of your use and provide documentation to FACE3type upon request. Exceeding licensed amounts will require purchasing additional licenses.

(06) RESTRICTIONS ON USE You may not:

Transfer your license rights, except as explicitly stated.
Rent, lease, or sublicense the Font Software.
Modify the Font Software or create Derivative Works, except as permitted by this Agreement.
Embed the Font Software in open-source software that may render it publicly available.
Use the Font Software for any discriminatory or harmful rhetoric. Violation of this provision will result in immediate revocation of your license, with no refund.

(07) INTELLECTUAL PROPERTY RIGHTS The Font Software is protected under applicable intellectual property laws. You agree that FACE3type Foundry owns all rights to the Font Software, and any unauthorized use constitutes infringement.

Account: Your account at a FACE3type-affiliated website through which you purchased the Font Software.

Application: A stand-alone product distributed as software, running on iOS, Android, or Windows Phone platforms.

Derivative Work: Any work based on or derived from the Font Software.

Font Software: Software that generates typeface designs and related files.

Trademarks: All trademarks associated with the Font Software as listed on FACE3type’s website.

By accepting this Agreement, you agree to comply with all terms and conditions herein.
